Lingxi User Registration / Terms of Use

Party A: Lingxi (HK) Tech Limited ("Lingxi")

Party B: Registered users of Lingxi ("User" or "You")

1. Representations and Warranties

1.1 Before using or purchasing Lingxi products, you confirm that you have fully read, understood, and accepted all contents of this Agreement. By using Lingxi products or services, you are deemed to have accepted and agreed to this Agreement under the Electronic Transactions Ordinance (Cap. 553). If you do not agree, please stop using Lingxi immediately. For questions, contact hi@lingxi360.cn.

1.2 Lingxi may modify this Agreement at any time and announce the latest version on https://lingxi.com.hk. For material changes, Lingxi will provide at least 30 days' prior notice via email or in-product notice. Continued use after the effective date means acceptance of the revised terms.

2. User Registration and Eligibility

2.1 You must be a natural person with full civil capacity (18 or older) or a legally incorporated organization operating in Hong Kong. Otherwise, you must use Lingxi under guardian or authorized supervision.

2.2 Automated or bulk registrations (including bots or scripts) are strictly prohibited.

2.3 You agree to provide accurate and truthful information, including full name, email, and phone number, during registration.

3. Account Independence and Security

3.1 Each account and password pair is authorized for one named user only. Lingxi may audit usage to ensure compliance and account integrity.

3.2 You must safeguard your login credentials. Lingxi is not responsible for any loss arising from your disclosure.

3.3 Any operation performed using your valid credentials will be treated as your own authorized action.

4. Product and Service Terms

4.1 Lingxi provides its services using reasonable care and skill, but does not guarantee error-free or uninterrupted operation.

4.2 Lingxi uses third-party services including Alibaba Cloud, Stripe, SendGrid, Alipay, and WeChat Pay. Their performance and availability are beyond Lingxi's control.

4.3 Lingxi may continuously modify, adjust, or improve its SaaS products without prior notice.

4.4 Independent technical support is provided to paying users under agreed service fees.

4.5 Any limitation of liability shall be reasonable under the Control of Exemption Clauses Ordinance (Cap. 71) and shall not exclude liability for death, personal injury, fraud, or wilful misconduct.

5. Billing and Invoices

5.1 Prices are listed on https://lingxi.com.hk and quoted in HKD. They include all applicable taxes (none currently imposed in Hong Kong).

5.2 Lingxi provides a trial version. Paid plans adopt a pay-in-advance model.

5.3 Users must prepay each billing cycle. Fees are non-refundable, except where Lingxi materially breaches this Agreement.

5.4 Lingxi will remind users 15 days before renewal. If payment is not made before the new cycle, services will be suspended, followed by a 7-day migration window.

5.5 Users may apply for an invoice after payment; it will be issued within 5 business days.

5.6 If Lingxi adjusts pricing, users will be notified 30 days in advance. If you disagree with new pricing, you may terminate before the effective date without penalty.

6. Usage Restrictions and Acceptable Use

6.1 Trial accounts may display in-product promotional banners; no third-party ad tracking is used.

6.2 Each user may hold only one trial account.

6.3 You are responsible for all content generated through your account.

6.4 You may not:

• Attack Lingxi systems or other users;
• Copy, resell, or sublicense Lingxi's products or services;
• Host or share illegal, infringing, harmful, or abusive content;
• Send spam, malicious code, or violate any applicable law.

6.5 All bulk messages must comply with the Unsolicited Electronic Messages Ordinance (Cap. 593), including sender identification and unsubscribe links.

6.6 Lingxi may immediately restrict or suspend any account for abuse, excessive use, or legal violations.

7. Service Cancellation and Termination

7.1 Services may be terminated if:

• No login activity for 12 months;
• User request for cancellation; or
• Violation of laws, third-party rules, or this Agreement.

7.2 Upon termination, data will be retained for 30 days for export before permanent deletion.

7.3 Users may apply for a refund by providing reasonable justification. Lingxi reserves the right to approve or deny such requests based on the circumstances.

7.4 Once terminated, all access to Lingxi services and data ceases.

8. Privacy and Data Protection

8.1 Lingxi respects and protects user privacy. Personal data is handled in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) and Lingxi's Privacy Policy.

8.2 Lingxi may disclose data where required by law, with user consent, or to provide requested services.

8.3 Lingxi acts as data user for account and support data, and as data processor for customer data. Data is retained only for necessary purposes and protected by appropriate security measures.

9. Intellectual Property

9.1 User-generated content remains the user's intellectual property.

9.2 All Lingxi software, systems, designs, and materials are protected by trademark, copyright, and patent laws. Unauthorized use, copying, or reverse engineering is strictly prohibited.

9.3 Rights not expressly granted herein remain reserved by Lingxi.

10. Force Majeure

10.1 Lingxi shall not be liable for service interruptions or delays caused by: system maintenance, telecommunications failures, natural disasters, power outages, wars, terrorist attacks, hacking, or other events beyond reasonable control.

11. Miscellaneous

11.1 If any provision is found invalid or unenforceable, the remainder of the Agreement remains effective.

11.2 This Agreement is governed by Hong Kong law and subject to the exclusive jurisdiction of the Hong Kong courts.

11.3 No person other than the Parties shall have any right to enforce any term of this Agreement under the Contracts (Rights of Third Parties) Ordinance (Cap. 623).

11.4 If there is any inconsistency between the English and Chinese versions, the English version shall prevail.
